1.1. The terms and conditions, in conjunction with the Privacy Policy and any other relevant policies subsequently introduced, establish the legal relationship between M/S Dhrupad Technologies, a company incorporated under the Companies Act-2013, having its registered office at 20, PNGB Road, Gotanagar, Guwahati 781011 (hereinafter referred to as “Company” "DT", "We", "Us", and "Our") and its User(s) (hereinafter referred to as "You", "Your", and "User"). The Company has launched a website “ https://www.nejobs.co ” (hereinafter referred to as “Platform”). These terms and conditions (hereinafter referred to as the "Terms") are constructed in accordance with the Information Technology (Intermediaries Guidelines) Rules, 2011, as specified under the Information Technology Act, 2000 and Digital Personal Data Protection Act, 2023 and other applicable rules and policies. These Terms govern the terms and conditions of your access and usage of https://www.nejobs.co. These Terms, which incorporate our Privacy Policy, also govern your access to and use of our Services, including our communications, events, and other covered products or services that link to these Terms. By accessing and using the Services as provided, you agree to comply with these Terms. If you are using the services on behalf of a company or any other legal entity, then "You" also means such company or legal entity, and you agree to be bound by these Terms even if we have a separate agreement with you. You may not use the services if you do not agree to the linked version of the Terms at the time you access the services.

2.1.We own and operate the Platform, which facilitates seamless integration between job providers (“Employer Users”) and job seekers (“Employee Users”), collectively referred to as “Users” through the Platform. We provide services including but not limited to:

Employer Users: Employer Users may post job vacancies, browse through Employee Users’profile or any other service as may be available on the Platform. Furthermore, the Employer Users may have access to the Employee Users information or data posted by the Employee Users (whether or not the Employee Users has availed or applied to the Employer’s postings or submission via Platform), for the purpose of clarification the viewing and browsing of the Employee Users profile shall only be done upon our explicit acceptance of such request by the Employer Users.

Employer Users: Employee Users may browse available opportunities, view vacancy details—including the number of open positions and work schedules—and engage in real-time communication with potential employers, thereby enhancing the overall recruitment experience for the Users.

2.2.You hereby consent to providing the Company with the necessary permissions, information, and data as required from time to time for the provision of Services. This may include, but is not limited to, details regarding your availability, integration with third-party services, and any necessary tool configurations.

3.1.To access and use our Services, you must be at least 18 years old or the legal age of majority in your jurisdiction, whichever is higher. Additionally, you must not be legally prohibited from using our Platform and the integrated Services under the Indian Contract Act, 1872, the Indian Majority Act, 1875, or any other applicable laws. If you are accessing the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you are duly authorized to act on its behalf, bind it to these Terms, and ensure that such entity is in good standing and legally capable of entering into binding agreements. You are strictly prohibited from using our Platform if your account has been terminated by us, if you have been banned, or if any applicable law restricts your access.

4.1.Users must complete the registration process on the Platform to access the Services. Registration requires creating an account and providing relevant personal information, including but not limited to name, email ID, date of birth, address, phone number, and any other details requested on the Platform. Upon successful registration, an account and password will be created for the User. By creating an account, you agree and consent to receive communications from us, our affiliates, and our third-party service providers.

4.2.You may only use your own ID, password, or account unless you have the express permission and consent of the other respective User. We shall not be liable for any loss or damage arising from your failure to comply with this obligation.

4.3.If you are using the Services as a broker, intermediary, recruitment agency, consulting firm, talent acquisition entity, or in any similar capacity to source candidates on behalf of another entity, such recruiting entity shall disclose that the recruiting entity is using the Services as a broker, intermediary, recruitment agency, consulting firm, talent acquisition entity, or in any similar capacity to source candidates on behalf of another entity. Such recruiting entity(ies) have the right but not the obligation to disclose the name or details of the other Company entity the recruiting entity is working on behalf of and/or provide the details of such Company entity to us in writing while registering or posting jobs or before accessing the Services. Additionally, you agree to provide any further information we may require in connection with your use of the Platform.

4.4.Users are solely responsible for maintaining the confidentiality of their login credentials and must not disclose them to any third party. You agree to promptly notify us of any unauthorized use of your account, password, or any security breach. Upon receiving such notification, we may, at our sole discretion, investigate the matter and take appropriate remedial action. You acknowledge that you may be held liable for any losses incurred by us, other users, or visitors to the Platform due to unauthorized access resulting from your failure to maintain the security and confidentiality of your account information.

4.5.Our Services are intended solely for personal, non-commercial use, unless otherwise governed by a separate commercial arrangement with the Company. However:

4.6.You acknowledge and agree that, in connection with the Services and as outlined in the Terms and Conditions, you may receive communications from the Company or its Users, including pre-recorded messages, through automated dialing systems. These communications may be delivered via email, push notifications, or any other available channels. Additionally, you acknowledge that we may share your data on the Platform with our affiliates and third-party service providers for purposes related to managing your account and facilitating the provision of our Services.

5.1.You represent and warrant that your use of the Services will be solely for lawful purposes and in strict compliance with these Terms, all applicable laws, regulations, and any legally binding obligations, including contractual commitments owed to us or any third party.

5.2.Without limitation, you shall not (nor shall you permit any third party to) engage in any activity or publish any content that violates applicable laws, infringes upon the rights of others, or contravenes these Terms.You agree that You will not:

All resumes, profiles, logos, images, videos, audio clips, comments, information, data, text, photographs, software, scripts, graphics, and interactive features made available by us on or through the Services (“Content”) on the Platform, whether publicly posted or privately transmitted, are the sole responsibility of the User who originated such Content (“Submission”).

6.2. Employee Users acknowledge and agree that any job vacancy, listing, or recruitment-related communication or post intended to be made available on the Platform shall be subject to prior acceptance and approval by us. We reserve the right, but shall not be obligated to, review, moderate, or otherwise approve the content, accuracy, relevance, and compliance of such listing. We may, at our sole discretion, refuse to accept and/or remove any listing after the acceptance towards such listing, without providing any prior notice or reason.

6.3. The Platform may contain Submissions that we do not pre-screen and that may reflect the opinions of Users. These opinions do not represent our views, beliefs, morals, or values. We do not claim ownership over any Submissions, including text, files, images, photographs, videos, sounds, or musical works that Users submit or publish on the Platform. For clarity, we are not an employer and assume no responsibility for any job postings, hiring decisions, or employment-related interactions that take place on the Platform.

6.4. We do not guarantee the authenticity, accuracy, legality, or reliability of any Content or data that Users provide, or any Submission. This includes, but is not limited to, the safety or legality of job postings or profiles/resumes, the truthfulness or accuracy of listings, the ability of an Employer User to offer suitable job opportunities to an Employee User, or the suitability of candidates for job listings posted by an Employer User. You acknowledge that any Content accessed through the Services is at your own risk, and you are solely responsible and liable for any damage or loss to yourself or any other party resulting from such Content. We disclaim any liability for any harm, loss, or damages arising from your reliance on or use of Content available on the Platform.

6.5. You acknowledge and agree that any Content or aggregated data provided by you, may be accessed and transferred to or used for the Platform for the purposes of provisioning of the Services.

6.6. Any Submissions that promote online gambling, lotteries, or games of skill offering cash prizes including but not limited to online casinos, sports betting, bingo, or poker games involving real money shall be permitted only if prior written authorization has been obtained from the appropriate regulatory authorities. In the absence of such authorization, such content is strictly prohibited on the Platform.

6.7. Submission shall not contain any such image, photograph, design, artwork, any other copyrightable work, trade name, trademark etc. that may violate intellectual property rights of any third party and must acquire permission/authorization/licenses for trademarks or copyrightable works owned/controlled by a third party prior to being uploaded as Content.

6.8. The Users hereby expressly acknowledge and agree that we will not be liable for the User's losses or damages (whether direct or indirect) caused by any activity undertaken by the User on the basis of any Submissions.

6.9. The Service contains Content specifically provided by us or our partners on the Platform and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws, as applicable. You shall abide by and maintain all copyright notices, information, and restrictions contained in any of our Content accessed through the Platform.

7.2. Removal of Submissions:
We reserve the right to investigate and take appropriate legal action in our sole discretion against anyone who violates these Terms. We have the right to:

8.2. Regardless of whether you have created an account, your visit to our Platform may be subject to data processing through analytics services that track and log your interactions, including text entered, pages visited, and features engaged with. This includes data collected to deliver and enhance our Services for you, and the public, as well as for operational and analytical purposes. By using the Platform, you agree that your personal data, including but not limited to your name, gender, workplace identities, professional affiliations, employment history, work preferences, and educational background, may be made available on the Platform. Based on your profile, you may receive updates, promotional materials, and other communications related to the Services or any new offerings. You may opt out of receiving promotional communications by following the unsubscribe link or the instructions provided in any such email. However, you will continue to receive essential updates related to your account and the Services.

9.2. By using the Platform to avail the Services, you acknowledge that you are transmitting sensitive and personal information, including but not limited to your registration details. We are committed to implementing all necessary measures to safeguard and maintain the confidentiality of such information in accordance with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. However, while we employ industry-standard security practices, you acknowledge that no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

9.3. You hereby acknowledge and agree that by providing your sensitive and personal information to us, you expressly, unconditionally, and irrevocably consent to the collection, use, and processing of your personal information for the purposes as detailed under our Privacy Policy.

10.1. You agree to defend, indemnify, and hold us harmless from and against any losses, liabilities, claims, demands, actions, suits, proceedings, damages, costs, and expenses, including but not limited to legal fees and associated costs, arising directly or indirectly from:
(i) your use of the Services;
(ii) your violation of any provision of these Terms;
(iii) any misrepresentation, falsification, or inaccuracy of information provided by you, including but not limited to your identity, employment history, or status;
(iv) your breach, non-performance, non-compliance, or insufficient fulfillment of any terms, conditions, representations, obligations, or warranties under these Terms; and
(v) any act, omission, misconduct, negligence, or misrepresentation by you, your employees, subcontractors, or agents in connection with your use of the Services.

10.2. Furthermore, you shall indemnify, defend, and hold us harmless against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(i) any infringement or alleged infringement of intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, or patents, resulting from your use of the Platform and its Services;
(ii) any violation or alleged violation of privacy rights, data protection laws, or confidentiality obligations concerning third-party information due to your use of the Platform; or
(iii) any unauthorized or unlawful use, reproduction, distribution, or disclosure of third-party content facilitated through the Services.

10.3. Your obligation to indemnify under this clause shall remain in full force and effect notwithstanding the termination or expiration of these Terms.

11.1. The disclaimers and limitations on liability in this section apply to the maximum extent allowable under applicable law.

11.2. We assume no responsibility and disclaim all liability for the Submission, accuracy, completeness, legality, reliability, or availability of any information, including information, message, or Submission you submit, send, view, or receive through the Platform or/and available Services.

11.3. The Employee User expressly acknowledges and agrees that the Platform operates solely as an intermediary, facilitating interactions between Users without assuming any liability or responsibility for commitments, agreements, or obligations whether pre-commitment or post-commitment—that may arise between Users on or outside the Platform. The Platform does not engage in employment negotiations, contract formation, or any discussions beyond providing a virtual space for Users to connect. Any disputes, liabilities, or obligations resulting from interactions between Users shall be resolved independently between the concerned parties, without any involvement or liability of the Platform.

11.4. We are not responsible for the activities, omissions, or other conduct, whether online or offline. We are not responsible for any incorrect, inaccurate, or unlawful Submission submitted to the Platform, whether caused by Users or by any of the equipment or programming associated with or utilised in the Platform. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access to, or alteration of, any communication with you.

11.5. We shall not be held responsible for any misuse, unauthorized access, or exploitation of a User’s sensitive and personal information by other Users, where such information has been shared voluntarily and consensually by the User. It is the sole responsibility of the User to assess the risks associated with disclosing personal or professional information to other Users.

11.6. We are not responsible for any problems or technical malfunction of any hardware and software due to technical problems on the Internet or on the Platform or combination thereof, including any injury or damage to you or to any person’s device related to or resulting from participation or downloading materials in connection with the Platform. Under no circumstances shall we be responsible for any loss or damage resulting from the use of the Platform or from any Submission submitted to the Platform or transmitted to Users, or any interactions between Users, whether online or offline.

11.7. THE SERVICES ARE PROVIDED "AS-IS" AND AS AVAILABLE. WE EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT:
(1) THE SERVICES WILL MEET YOUR REQUIREMENTS OR REMAIN SATISFACTORY;
(2) THE SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR
(3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

11.8. YOU HEREBY RELEASE US FROM ANY AND ALL CLAIMS, DEMANDS, AND LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND THAT ARE EITHER DIRECTLY OR INDIRECTLY RELATED TO OR ARISE FROM:
(1) THE ACTIONS, SUBMISSION, OR DATA OF THIRD PARTIES (INCLUDING, ADVERTISERS, EMPLOYERS, AND OTHER USERS);
(2) YOUR PARTICIPATION IN ANY ONLINE OR OFFLINE EVENTS.

11.9. YOU AGREE THAT WE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY MODIFICATION OR DISCONTINUANCE OF THE SERVICE OR ANY PORTION THEREOF.

11.10. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

12.1. We maintain a strict policy against breaches of the Terms and any misconduct directed towards us. Such violations of the Terms will not be tolerated and will result in immediate and severe disciplinary actions, in accordance with the relevant and applicable laws in force in India. These actions may include, but are not limited to, the termination of usage rights for the Platform and the initiation of legal proceedings.

12.2. These Terms shall remain in full force and effect for the entire duration of your use of the Services and, in the case of registered users, as long as your account remains active on the Platform. You may delete your account at any time at your sole discretion. We reserve the right, at our sole discretion, to suspend or terminate your account or restrict your access to any portion of the Services at any time, with or without cause, and without prior notice. Such termination or suspension may result in the forfeiture, deletion, or destruction of all data, content, and information associated with your account, and we shall bear no liability whatsoever for any resulting loss, damage, or inconvenience caused to you or any third party due to such action.

12.3. All provisions contained within these Terms shall remain in effect even after the termination or expiration of these Terms, except for those provisions specifically granting access to or use of the Platform. To avoid any confusion, you acknowledge that these Terms are applicable to your use of the Services and any Submission submitted on the Platform at any time before the termination or expiration of these Terms.

12.4. We reserve the right to suspend, deactivate, or permanently terminate a User’s account if it remains inactive for a continuous period of [specify time period] or longer. Inactivity shall be determined based on a lack of logins, engagements, or interactions on the Platform. We may, at our discretion, notify the User before taking such action, but we are not obligated to do so. Reinstatement of a deactivated account shall be subject to the Platform’s internal policies and verification requirements.

12.5. All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13.1. We reserve the right to modify, update, or amend these Terms from time to time at our sole discretion. Any such revisions will be made available through a link on the Services. Your continued use of the Services after any modifications take effect shall constitute your explicit and unambiguous acceptance of the revised Terms. If any such changes materially affect your rights or obligations concerning the use of the Services, you may choose to discontinue your use of the Services or deactivate your account. It is your responsibility to review the Terms periodically to stay informed of any updates.

14.1. You acknowledge and agree that all intellectual property rights, including but not limited to copyrights, trademarks, trade names, logos, trade dress, designs, and other proprietary material contained on the Platform (“Marks”), are owned exclusively by us and/or our licensors, and all such rights are reserved. Your access to and use of the Platform grants you only a limited, revocable, non-exclusive, non-transferable licence, strictly subject to these Terms, for the purpose of viewing and submitting Submissions. You shall not copy, modify, distribute, reproduce, publish, license, create derivative works from, or otherwise exploit any of our Marks without our express prior written consent. Our logos, trademarks, and trade dress, including but not limited to the appearance, layout, colour scheme, and design of the Platform, are our exclusive property, and no right or licence is granted to you in respect thereof. Any unauthorised use of our Marks shall be deemed a material breach of these Terms and may result in legal action.

14.2. You are not permitted to use these Marks without our prior written consent, or, wherever applicable, the consent of the specific third party that owns the Mark. We reserve all rights, titles, and interests in and to the Marks not expressly granted within these Terms, including but not limited to the right to enforce and protect the Marks to the fullest extent allowed in law. Nothing in this Agreement shall be construed as conferring any rights or licence to our Platform and its associated trademarks or copyrighted material.

14.3. Except as expressly provided in these Terms, no part or Submission of the Platform may be copied, reproduced, adapted, modified, published, publicly displayed, encoded, decoded, translated, transmitted, or distributed in any way to any other computer, server, website or other storage/user medium for publication or distribution or for any commercial enterprise or otherwise for any retaining purposes, without our express prior written consent. You also agree not to modify, sell, distribute, transmit, broadcast, or create derivative works based on the Submission, in whole or in part, by any means.

14.4. You shall promptly notify us in writing of any known or suspected infringement of our intellectual property rights by any third party and shall cooperate with us fully in any legal action taken by us to protect our intellectual property rights.

15.1. Except as required by applicable law, we do not owe you any special relationship or fiduciary duty. You expressly acknowledge that we do not control, and are under no obligation to take any action with respect to: (i) which Users gain access to or use the Services; (ii) the nature, accuracy, legality, or appropriateness of any Content you may access via the Services; (iii) the effects of any Submission on you or any third party; (iv) your interpretation or use of the Submission; or (v) any actions you take as a result of being exposed to the Content. Your use of the Services is at your sole risk, and we bear no liability for any consequences arising from your reliance on or interaction with any Content or other Users.

15.2. We shall not have any liability where the transaction is unable to be completed or does not fructify. In no event shall we be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the Services, including, without limitation, bodily injury, emotional distress, and any damages resulting in any way from communications or meetings with Users or persons you may otherwise meet through the Services.

15.3. Your use of the Services, the Platform, and any content or products therein is at your own risk. Neither us nor any person associated with us makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Services or the Platform. Without limiting the foregoing, neither we nor anyone associated with us represents or warrants that the Services, the Platform, and any content or products therein will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our site or the server that makes it available are free of viruses or other harmful components, or that the Services, the Platform, and any content or products therein will otherwise meet your needs or expectations. To the fullest extent provided by law, we hereby disclaim any and all representations, warranties, or guarantees of any kind, express, implied, statutory or otherwise, including, but not limited to, any warranties of merchantability, non-infringement, and fitness for a particular purpose.

15.4. We may alter, suspend, add to, or discontinue the Services in whole or in part at any time for any reason, without notice or cost. We assume no responsibility for your ability to (or any costs or fees associated with your ability to) obtain access to the Services. We do not assume any liability for the failure to store or maintain any customer data, user communications, account information, or personal settings. The Services may become unavailable due to maintenance or malfunction of computer equipment, servers, or other reasons.

15.5. You are solely responsible for any and all acts or omissions taken or made in reliance on the Services or the information contained therein, including inaccurate or incomplete information. You agree that we have made no agreements, representations, or warranties other than those expressly set forth in these Terms.

16.1. These Terms, including any disclaimers, provisions, and limitations of liability, shall be governed by and construed in accordance with the laws of India, without regard to its conflicts of law principles. Furthermore, any dispute, controversy, or claim arising out of or relating to these Terms, including disputes concerning their formation, validity, interpretation, performance, or termination, shall be resolved through binding arbitration. The seat of the arbitration shall be at Guwahati, India and the venue of the arbitration shall be at Guwahati, India comprising of a sole arbitrator appointed jointly by both parties in accordance with the Arbitration and Conciliation Act, 1996, and rules as amended from time to time.

16.2. Jurisdiction: Except for matters subject to arbitration, the courts located in Guwahati, India shall have exclusive jurisdiction over any dispute arising out of or related to these Terms, including disputes concerning their formation, validity, interpretation, performance, or termination.

17.1. This document is an electronic record in terms of the Information Technology Act, 2000 (IT Act) and rules made thereunder as may be applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of the IT Act and the rules made thereunder that require publishing the rules and regulations, privacy policy, and terms of use of the Platform.

18.1. Except as expressly provided in a separate agreement between you and us, these Terms, together with any agreements, documents, or policies expressly incorporated herein by reference, constitute the entire and exclusive agreement governing your use of the Services. These Terms supersede and extinguish all prior and contemporaneous proposals, negotiations, agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof. Any conflicting or additional terms proposed by you, whether in correspondence, communication, or otherwise, shall be deemed null and void unless expressly agreed to in writing by us.

18.2. You affirm that no person has made any promise, representation, or warranty, whether express or implied, that is not explicitly stated in these Terms, as an inducement for you to enter into this agreement. You acknowledge and agree that you have not relied upon any such statements, assurances, or representations, whether made orally or in writing, in deciding to enter into and be bound by these Terms. Any reliance on statements not expressly set forth herein shall be at your sole risk and shall not give rise to any claim, right, or remedy against us.

18.3. If any provision of these Terms is determined to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect. The unenforceable or invalid provision will be reformed to reflect the original intent of the Parties as closely as possible, consistent with applicable law, to ensure that the Terms remain enforceable.

18.4. Our failure to enforce any provision of this Agreement shall not be construed as a waiver of such provision or our right to enforce it in the future, whether by action, inaction, or otherwise.

18.5. We shall not be held liable for any delay or failure in the performance of our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God (such as natural disasters, fires, floods, earthquakes), pandemics, epidemics, acts of terrorism, war, civil unrest, governmental actions (including regulatory changes affecting e-commerce operations), power outages, strikes, labor disputes, supply chain disruptions, cyberattacks, or any other unforeseen and unavoidable events that hinder the normal operation of our Platform. In such cases, our obligations shall be suspended for the duration of the event, and we shall make reasonable efforts to mitigate the impact and resume performance as soon as practicable.

18.6. You acknowledge that a breach of this Agreement may result in irreparable harm to us. In such cases, we shall be entitled to injunctive relief or equitable remedies, in addition to other remedies and damages available.

18.7. You shall not assign, transfer, or sublicense the Terms or any rights or obligations hereunder without our prior written consent. However, we retain the right to assign or transfer these Terms without restriction. Any attempted assignment by you without our consent shall be null and void, constituting a material breach of these Terms.
